End User License Agreement

This End User License Agreement ("EULA") is a legal agreement between you ("you" or "User") and All Sportz Apparel, LLC ("ASA," "we," "us") governing your use of ASA software applications, including the ASA internal business portal, the ASA Portal Sync application, and any related tools, updates, and documentation (collectively, the "Software"). By accessing or using the Software, you agree to be bound by this EULA. If you do not agree, do not use the Software.

1. License grant

ASA grants you a limited, non-exclusive, non-transferable, revocable license to use the Software solely for ASA's internal business purposes, in accordance with this EULA and any access credentials or permissions assigned to you. The Software is licensed, not sold.

2. Authorized users

The Software is intended exclusively for ASA employees, owners, and contractors who have been issued individual credentials. You must keep your credentials confidential, must not share accounts, and must notify ASA immediately at jdorf@allsportzapparel.com if you suspect unauthorized access.

3. Restrictions

You may not: (a) copy, modify, distribute, sell, lease, or sublicense the Software; (b) reverse engineer, decompile, or attempt to extract source code except where such restriction is prohibited by law; (c) access the Software to build a competing product; (d) use the Software to violate any law or third-party right; (e) circumvent or attempt to circumvent authentication, encryption, or access controls; or (f) access, or attempt to access, data or portal sections beyond the permissions assigned to you.

4. Business data and third-party services

The Software processes ASA business information, including production, sales, and financial data. Where the Software connects to third-party services — such as QuickBooks Online (Intuit Inc.), GitHub, Microsoft Azure, or Vercel — that data is accessed and used solely for ASA's internal reporting and operations, subject to our Privacy Policy and the applicable third party's terms. ASA does not sell business or personal data to third parties. Your use of QuickBooks Online through the Software is additionally subject to Intuit's own terms of service.

5. Confidentiality

All data available through the Software — including financial statements, customer information, pricing, production metrics, and forecasts — is ASA confidential information. You may not disclose it outside ASA or use it for any purpose other than performing your role at ASA.

6. Ownership

ASA and its licensors retain all right, title, and interest in and to the Software, including all intellectual property rights. No rights are granted to you other than as expressly set forth in this EULA.

7. Updates and availability

ASA may modify, update, suspend, or discontinue the Software (in whole or in part) at any time, with or without notice. ASA is not liable for any unavailability of the Software or loss of data resulting from maintenance, updates, or discontinuation.

8. Termination

This EULA is effective until terminated. ASA may suspend or terminate your access at any time, including upon the end of your employment or engagement with ASA or any violation of this EULA. Upon termination you must cease all use of the Software. Sections 4–6 and 9–11 survive termination.

9. Disclaimer of warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. ASA DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT DATA PRESENTED WILL BE COMPLETE OR CURRENT.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ASA WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THIS EULA OR THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. ASA'S TOTAL AGGREGATE LIABILITY UNDER THIS EULA WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100).

11. Governing law

This EULA is governed by the laws of the State of New York, without regard to conflict-of-laws principles. Any dispute arising under this EULA will be resolved exclusively in the state or federal courts located in Westchester County, New York, and you consent to their jurisdiction.

12. Changes to this EULA

ASA may update this EULA from time to time. The "Last updated" date above reflects the most recent version. Continued use of the Software after a change constitutes acceptance.
